That is very strange - I don't think I've ever seen that happen before.The file size I can help with - it's because of the Editp Poly modifier - every change you make is recorded otherwise it would be impossible to delete that modifier and returun to the original Editable Poly object. Select the modifier and Collapse To. The file size drops to around 620KB.As for the problem itself - I really don't know.

If you delete the Smooth and the Edit Poly modifiers, the base object still has the problem. I created a vertical cross-section of it, removed half the spline then Lathed it.
No problems converting to Mesh, so it follows that the method of construction has something to do with it, but I don't know what method you used. I have just finished a phone model when I tried to convert to editable mesh. Max messed it up again. And this time I have not used booleans nor any plug-ins for modeling.
Just the standart poly tools in Max. Luckily I found a way to fix this problem somehow.
I first had to convert it to editable patch then editable mesh and finally to editable poly.The first pic is before converting, the second when as editable mesh, and the third - editable patch:The bad news is that the last step involves cleaning up all the diagonals between the quads.
